SOO LINE RAILROAD COMPANY--ABANDONMENT EXEMPTION--IN ST. PAUL,
RAMSEY COUNTY, MN

IN THE MATTER OF AN OFFER OF FINANCIAL ASSISTANCE

Decided: May 27, 1999

By decision served on May 5, 1999 (May 5 decision), the effective date
of the exemption
authorizing the abandonment of a .90?-mile line of railroad known as the
St. Paul Terminal
Trackage by Soo Line Railroad Company, doing business as Canadian
Pacific Railway (Soo),
was postponed in order to permit the offer of financial assistance (OFA)
process under 49
U.S.C. 10904 and 49 CFR 1152.27 to proceed.(1) The May 5 decision stated
that, if Soo and
the offeror could not agree on the purchase price, either party may
request the Board to establish
the terms and conditions of the purchase on or before June 1, 1999. The
decision also stated that,
if no agreement is reached and no request is submitted by that date, the
Board will serve a
decision vacating the decision and allowing the abandonment exemption to
become effective.

On May 26, 1999, the offeror and Soo filed a joint request for a 30-day
extension until July 1,
1999, for the filing of requests for the establishment of terms and
conditions of the purchase. The
parties state that they have entered into negotiations as to the
purchase price and other terms of
sale pursuant to the OFA, but more time is needed to evaluate and
negotiate the proposed terms,
including environmental issues.

Because this request is reasonable, the deadline for the parties to
request the Board to establish
terms and conditions of the purchase is extended to July 1, 1999.

This action will not significantly affect either the quality of the
human environment or the
conservation of energy resources.



It is ordered:

1. The joint request to extend the time period for either party to
request the Board to establish the
terms and conditions of the purchase is granted.

2. If Soo and the offeror cannot agree on the purchase price, either
party may request the Board
to establish the terms and conditions of the purchase on or before July
1, 1999.

3. This decision is effective on its service date.

CP Ships Buys Cast Containerline Group-Circa 1994/1995
CP Ship's subsidiary Canada Maritime finished the deal to buy all of
Cast's container business, its brand name and its assets for an
undisclosed sum CP will put $50 million into the bankrupt container
line.Cast registered in Bermuda will be run separately with their own
schedules, fleet of ships & sales and marketing operations. Both Canada
Maritime and Cast together will form the North Atlantic's largest
container shipper controlling 80% of the business in the Port of
Montreal. The purchase of Cast is also important to CP Rail System ,
because Cast was a big user of the railway. Cast annual sales of $350
million compared with $560 million for Canada Maritime. Cast has lost
$143 million since 1991. CP Ships pumped $50 million working capital
into Cast. The Royal Bank of Canada in 1994 refused to lend more money
to Cast. The bank wrote off its Cast loans, and seized assets including
the fleet. It then sold Cast to CP Ships. Cast ran out of cash. For a
period in the 1980's CN had an interest in Cast Container Line, ending
up losing between $60 million to $80 million with an interest in the
shipping line.

I contacted a person at South Simcoe a month or so ago and this is what he
indicated regarding 1057:

We had the 1057 out running last September (in fact, the photos on
this year's SSR timetable brochure were shot on that occasion) and
have only some minor work to do before she can be used in regular
service.

The plan is to use the 1057 occasionally for special occasions
(several folks have suggested holidays, and the like) and as backup
for the 136. Owing to its better coal economy, the 136 will
continue to be our primary motive power.

All of these things take time, manpower and money, and there is never
enough to go around! However, things at the South Simcoe Rwy are
progressing quite nicely...

End of original message from the SSR. I then made the following comment:

I can understand the economy of running the 136 but would also love to
ride
behind and photograph the 1057 under steam. I think it would be a great
idea to utilize 1057 on holiday weekends and maybe even a few other
occasions.
To which I received the following reply:

That's sort of the plan. Running the 1057 for all or a substantial
portion of our trips just won't wash, unless we charged more in fares
(the coal consumption really is that much more).

This is all I know as I haven't been up there yet this year.

Hi Bruce,

Do you also see 7306 and 7308 down there as well? Photos seem hard to come by. And
those units never seem to run in Ontario. Any particular reason?

Before anyone flames me, I would rather have a friendly discussion than to do a
trace on the units. ;)

Bill:

Also SD90 MAC 9144 should be ready to go very soon. I was on a tour of
Ogden shops last Sunday and 9144 was idling on the ready track outside
of the locomotive shop and 9143 was inside undergoing some last minute
preparations.

9145 to 9153 were in the shop at various points of assembly and 3
SD90s were outside, just as frames with complete trucks and the very
front portion of the isolated cab attached. These frames were sitting
on the rails on the north side of the locomotive shop. Two flat cars
loaded with two frames each, along with the trucks packed between the
frames were sitting to the east of the locomotive shop. Another
bulkhead flat carried the remaining cabs. So that is it for the Ogden
production assembly of SD90's for now, the partially assembled
locomotives, and frames that I saw account for locomotives 9145 to
9160. All frames and assembly parts are located at Ogden (to answer
another list question from earlier this week). Unfortunately this
project completion will start to curtail the work for the Ogden
employees. Yet spirits remained about hopes of obtaining further
contract work from other railways.

Anyhow I would like to thank the CPR employees who took personal time
on a Sunday morning to give the model railroaders attending the Calgary
Spring Meet such a great tour.

CPR Saint John, New Brunswick-
Continued From May 26, 1999
February 9, 1955 * Symbol indicates motive power tuscan red-grey-gold
-black paint scheme.
Going back a few hours, at Saint John Union Station, on the west side of
station at Mill Street freight shed 2-8-0 switcher 3752.
The second Montreal train #42 "Atlantic Limited" was due at 1140 and on
time, by surprise instead of a heavy semi-streamlined 4-6-2 of *2390
or *2400 series, train #42 pulled into the station with semi-streamlined
2-8-2 5459 a power change made at McAdam as usual. Included in the
consist of passenger equipment, two new stainles-steel "Manor" series
sleeping cars which are regular asssigned equipment, plus heavy-weight
sleepers. At 1225 the "Gull" from Boston was pulling in, with a stranger
light-modern 4-6-2 1267 with 8 cars. The following consist: CP
streamlined light-weight 3600 series postal-express, Maine Central
express car, Boston & Maine baggage, two Maine Central coaches,
(normally Maine Central stainless-steel coaches, Two CP "R" class
sleepers, one Boston & Maine stainless-steel sleeper.
Remarks: CP 3600 series postal-express comes out of Montreal on train
#42, taken off at McAdam. The Maine Central postal car from Boston on
the "Gull" is taken off at McAdam, and CP postal car from #42 added to
the "Gull" for Saint John-about a 40 minute layover. Back at Union
Station, Saint John, after the "Gull" arrived, semi-streamlined 2-8-2
5459 backed westbound from track #7 which is outside the train shed
enroute to Lancaster, where 5459 would switch over south/west to the
line to Bay Shore roundhouse. On track #5 was the other railway's train
#14 6 cars powered by a 4-6-2 5200 series to Moncton and connections to
Halifax.. I had plans to go to Ocean Terminals at West Saint John to
watch the departure of Canadian Pacific's 19,000 ton "Empress of
Australia" (2nd) depart for Liverpool, England-but got tied up talking
to the roundhouse foreman Jim Leask, so observed the "Empress of
Australia" outbound past the Bay Shore Yard. At 1630 back at Union
Station in Saint John, heavy 4-6-2 semi-streamlined *2394 was backing
into the station from Bay Shore for westbound train #41 "Atlantic
Limited" for a 1700 departure to Montreal. Train #41 was hauled in from
the coach yards from eastend earlier. Westbound train #41 with the
following consist: Streamlined light-weight express-baggage, streamlined
light-weight 3600 series postal-express, two streamlined light-weight
2200 series deluxe coaches, one 2100 series streamlined coach,
heavy-weight dining car, a heavy-weight "Lake" series
buffet-parlor-compartment-bedroom sleeper, two new "Manor" series
stainless-steel sleepers, a heavy-weight sleeper, and wood business car
#36. Yard engine 2-8-0 3752 came from the freight shed, thundering past
the train shed, then coupled on the rear of the "Atlantic Limited"
being the pusher out of the station west up the stiff grade as far as
the Reversing Falls Bridge and back up to the Union Station area. Train
#41 departed at 1700 with 11 cars. More cars added at McAdam which would
be head-ends at this time of year. Some sound with pusher 3752
thundering through the train shed and beginning to pick up speed for the
grade. On another track was the westbound Fredericton local (65 mile
run) powered by light 4-6-2 2629. This train runs with up to 5 cars-no
helper or pusher required. The second Montreal train #39 with a
departure at 2000 is assisted by a helper/pusher, and the westbound
Boston "Gull" a 2030 departure also assisted by a helper/pusher.
Montreal westbound Train #39 is the CPR/DAR boat connection from Digby,
N.S. via CPR's Bay of Fundy Service "Princess Helene" CN's train #13
from Moncton with connections from Halifax also makes connections with
the two CPR westbounds. In the mornings after train #40 arrives from
Montreal at 0645, CP's westbound passenger for Edmundston departs at
0700 via Fredericton Jct.-McAdam(power change)then continues on the
North Line to Woodstock-Aroostook and intermendiate points to
Edmundston. Usually light modern 4-6-2 1255 has been handling this
service Saint John-McAdam and return. The Edmundston passenger over the
same route arrives Union Station at 2230.

CP SHIP'S AUSTRALIA NEW ZEALAND DIRECT LINE TO CALL AT SEATTLE

This could apply to possible new container traffic for CPR. A short news
summary today, was made with the announcement that CP Ship's South
Pacific operating subsidiary Australian New Zealand Direct Line will
commence container service in and out of Seattle, Wash. So far no
mention of calls at Vancouver, B.C. ANZDL Line serves Australia-New
Zealand-and other South Pacific islands enroute to Long Beach(Los
Angeles) San Francisco/Oakland Calif. A subsidiary Union Direct Line
from Australia-New Zealand services a good number of South Pacific
Islands also. ANZDL if it omits Vancouver in favour of Seattle-what
routing will the container traffic take-possibly Union Pacific east to
Spokane then north to Kingsgate on BC. then CPR via Lethbridge-Medicine
Hat, then CP main line across Canada. U.S. destined traffic would travel
east to Moose Jaw-North Portal and Soo route through to Chicago with
traffic to the U.S. Northeast on CP's Delaware & Hudson. This is a
guess. Another route BNSF Seattle-Vancouver and CPR eastbound. News
right now regarding the announcement on ANZDL a little sketchy. Checking
ANZDL web-site their news has not been updated for the past few days.

Manny:

Unfortunately it looks like the days of the great SD40-2 have ended for
unit coal service. The last SD40s on 800 series coal trains I saw were
in 1995, back when the 9500 AC4400s were new and didn't have the
locotrol systems installed yet. Unit sulfur trains operated into 1997
with the SD 40s but have since converted to techno toasters as well.

I have noticed on the car trace that very occassionally SD 9043s are
mixed in to coal consists. I believe this is just a test situation and
since you didn't want test information I left it out the first time.

"We will be moving a Ringling Brothers and Barnum and Bailey Circus
train
(54 cars) across the territory from Romford to Pembroke on Tuesday June
22nd. It will likely go through North Bay in the evening stopping for a

crew change only.

The return trip will be going through North Bay likely in the evening on

June 28th. We will be using CP power. Should be an interesting site."

I received this info this morning from the GM RaiLink-Ottawa Valley. A
little sketchy but if I get any thing else on it, I will pass it along!

Canadian Pacific In The Maritimes-Circa-1955
Fan Trip To Norton, N.B. And Saint John, N.B. from Moncton-February 9,
1955
CPR Norton, N.B.
Morning.
At Norton, N.B. 4-4-0 136 was spotted inside CP's one-stall roundhouse
with the weather about 5 below zero. Combination coach (wood)3269 was
pulled up close to the locomotive shed. I then spotted the other railway
(CN) early morning Saint John-Moncton-Charlottetown passenger train
#44(this train number as far as Moncton) then changes to another train
number Moncton-Cape Tormentine before going on ferry to Borden and
Charlottetown)powered by 4-6-2 5273(no feedwater heater).This train
picks up passengers from CPR's Montreal-Saint John train #39 arriving
Saint John Union Station at 0645 which makes connections with CPR's "Bay
of Fundy Service" 4,000 ton "Princess Helene" for Digby, N.S. connecting
with CPR subsidiary Dominion Atlantic passenger trains #98 eastbound
Yarmouth via Digby to Halifax, and westbound Halifax-Yarmouth passenger
#95 usually with 9 cars and powered by G-2 Class 4-6-2's of 2500 and
2600 series. Getting back to CP at Norton, N.B., Nearby was A CP caboose
used by engine and train crews-a home away from home, also a snow plow
and grader. Shortly afterwards 4-4-0 136 backed out of the engine shed,
and coupled onto wood combination coach 3269 and backed to the
station-dead-end tracks for CP. The Norton station is used by both
railways, although owned by CN. CP crews were busy loading mail, express
and some bagge off CN eastbound train #44. CN train #43 passenger from
Moncton to Saint John went westbound earlier. Again express, mail etc.
being loaded. From Moncton, a lot of T-Eaton Company mail-order traffic
being put aboard. All ticketing for CPR is done by the CN agent . At
about 0900 or so 4-4-0 136 with its combination coach departed for
Chipman, about a 44 mile run. Watched this train commencing climbing the
grade out of Norton, with its good sounding whistle and clanging bell
and bellowing lots of steam. Along the way 136 would do local work,
picking up box cars and finally arriving Chipman anything from seven to
eight cars. At Chipman heavier power and more cars on the
mixed-passenger would be added and would continue to the Fredericton
area(South Devon) with a 4-6-0 D-10 Class sometimes a 1100 series even
to a 2-8-2 of 5200 series. Other 4-4-0s 29 and 144 being maintained at
Chipman.

February 9, 1955.
Late Morning.
Bay Shore Yard-West St. John.

Locomotives observed either inside or outside roundhouse:
4-6-0 431, Heavy 4-6-2 *2332(Smoke Deflectors), semi-streamlined heavy
4-6-2 *2394, light 4-6-2 2629, 2-8-0 yard engines 3641, 3692, 2-8-2's
5321, 5354(12 wheel tender)5357. Not too much steam inside roundhouse.
Latest new power operating into the Saint John area east of McAdam-Light
modern 4-6-2's 1227, 1267 both freight, 2-8-2's 5178, 5179, 5188, 5388,
light modern 4-6-2 1225. Note 2-8-2 5388 from Western lines. 2-8-0 yard
engine 3692 new.
Presently light modern 4-6-2 1267 being assigned to Boston-Saint John
"Gull" from Vanceboro, Maine and return(passenger)replacing
1255(normally 1256). Locomotive 1255 supposed to be in McAdam or

Ocean Terminals West St. John, N.B.
Canadian Pacific Steamship's 19,000 ton Trans-Atlantic liner "Empress of
Australia"(2nd) in from Liverpool, England, plus CPS 10,000 ton
express-cargo liner "Beaverlake" in from London, England and European
Continent. CPR very busy this winter at West St. John yards area and
ocean terminals. Following yard engines observed at Bay Shore Yards,
West St. John:
2-8-0's 3632, 3638, 3641, 3692, 3700, 3742, 3738, 3750, 3753, heavy
0-8-0's 6600, 6602. Other 0-8-0's 6928, 6936, 6935. A number of these
yard engines work back and forth from West St. John Ocean Terminals and
Bay Shore yard, Lancaster Yard and transfers to downtown Saint John and
east to Island Yard at East Saint John.

Lancaster-just west of downtown Saint John.
Canadian Pacific Steamship's "Empress Special" from Montreal to West St.
John Ocean Terminals-passengers for CPS "Empress of Australia" departure
for Liverpool, England. On the power end:
Semi-streamlined 2-8-2 5454 with a total of 11 cars. Mail and express
special arrived earlier for Empress of Australia.
A number of yard engines working Lancaster Yard.

Back at Bay Shore Yard-West St. John
Freight arriving from west: 2-8-2 5215
Freight arriving from west 2-8-2 5323
Freight outbound-westbound double-header-2-8-2 5354-semi-streamlined
2-8-2 5454
Freight outbound -westbound double-header-Heavy 4-6-2*2332-2-8-2 5357.
Total 50 cars.
All power runs west as far as McAdam, N.B.
Usually all freight westbound out of Bay Shore are assisted by a a
pusher-helper.
Mixed Passenger arriving off "Shore Line" from Bonny River-4-6-0
491-five box cars and wood combination-coach. A station located next to
roundhouse.

Same train, same power. All they do in Golden is change crews, fuel (if necessary), switch some cars (if necessary) and go. SD40-2's have not been used in this service since AC4400CW's arrived.

Well, thankfully, it wasn't really that big of a deal at all. It happened
and the majority of it cleaned up before much could be said. The details
were posted elsewhere previously and on this list after your post.

As for me, lately health and other "life" happenings have had priority, so
sorry for no hoopla from Mile 77.

miles of rail line

The transaction is scheduled to be consummated on or after the May 19,
1999 effective date of
the exemption.

to revoke does not automatically stay the transaction.
