Hello, I¡¯m Geoff Emery, VK4ZPP, and I¡¯ve been thinking.

One of the issues that bedevils community organisations is
having people with experience and training to conduct the
business activities. I don¡¯t mean commercial activities but
the necessary matters that make bodies operate effectively.
These days with simplicity of ensuring protection for all
members, most like bodies are either incorporated associations
or not-for-profit companies. Within the amateur radio network,
if you excuse the pun, there are both structures in
existence.

The workload for office bearers is generally much simplified
if the club is an incorporated association but there are
still the necessary hoops that have to be jumped through
such as getting audits, lodging returns and holding the
appropriate number of meetings as defined in the constitution
or articles of association. The obligation on office bearers
is to conduct the business honestly, fairly for the benefit
of the association or the members, however it is defined.

It is necessary that people leave their egos outside of the
meetings and they turn their minds to working collectively
for the body they ar running. Of course, this doesn¡¯t mean
people leave their knowledge and opinions outside because
these are the gifts they are sharing with the club members.
It does mean that directors are obligated to be business-like
in how they interact with each other. A person may be best
friends with another but they can and should be able to have
differing opinions, on some matters that they consider
within the meeting, without that reflecting on their
relationship outside. It is sort of the we can have our
differences at a meeting and then enjoy a drink together
afterwards.

My understanding is that the Companies Act makes the duties
of directors quite explicit in doing all that is necessary
to promote the aims of the company within the confines of
the law. If a director believes that a proposal is against
the law, that person has a duty to bring that to the notice
of the Board and failure to do so may see criminal charges
brought by the regulator. In other words, there is no wriggle
room for unethical behaviour.

Some years back it was common place to see statements of
objectives of teams, offices, and businesses to be hung in
frames at entries to the offices. Having a code of practice
is a good way to keep the ideals of an organisation before
members and like school children reciting a pledge of loyalty
it¡¯s purpose is to keep the ethics to the front of mind.

We need to see the capacity to think individually, to
consider without favouritism and to decide issues honestly
in the best interests of our organisation in mind. We should
ensure that cliques cannot form and external pressures can¡¯t
influence what we do in our elected positions. Like
completing an application for insurance there is a
requirement for the ¡°utmost of good faith¡± and that should
be how directors conduct themselves also.
