PNG MAMA GRAUN CONSERVATION TRUST FUND
(Mama Graun)

Executive Director (Position Number CTF-03.1.3)

Terms of Reference

Background

The Independent State of Papua New Guinea has received a loan in the
amount of US$17,360,000 equivalent from the International Bank for
Reconstruction and Development (World Bank) toward the cost of the
Forestry and Conservation Project (FCP). In addition, the Independent
State of Papua New Guinea and the Papua New Guinea Mama Graun
Conservation Trust Fund (Mama Graun) have also received two grants in
the amount of US$17,000,000 equivalent, from the World Bank, acting as
an implementing agency for the Global Environment Facility (GEF). The
main objectives of the project are firstly, to strengthen the capacity
of government, local communities and other stakeholders to sustainably
manage PNG's forest resources; and secondly, to improve the
sustainability of income opportunities and quality of life for local
populations living under customary title in forest areas[1] The overall
FCP will be implemented through a Project Management Unit (PMU)
responding to an inter-departmental Project Oversight Committee (POC).
With GEF funding and assistance of The Nature Conservancy, Mama Graun
was incorporated 10 May 2000 as an autonomous entity with it's own
independently appointed multi-stakeholder management board (the Board).
During the establishment phase it will be supported by the FCP.
Mama Graun will establish an ongoing, reliable and independent source of
in-country funding for bio-diversity conservation and sustainable
development, based on landowner participation. Mama Graun will receive
a US$5 million grant by the GEF for its first three years of operations,
and a further US$10 million endowment grant contingent upon meeting
performance and co-financing benchmarks during the commencement phase.
It is also expected that other grant funding sources will be obtained to
build the endowment fund to around US$30 million.
Mama Graun will support the framework developed under the Landowner
Forest Decision Making component of the FCP, providing funds for
selected landowners that show commitment to conservation oriented
resource use options and meet the selection criteria established by the
Mama Graun Operations Manual. Funding will be focused at the level of
land groups and communities and will finance NGOs as well as government
agencies as service providers in support of bio-diversity conservation.
Mama Graun will develop a close working relationship with the National
Forest Service and the Department of Environment and Conservation.

This terms of reference refers to the position of Executive Director
within the Mama Graun Secretariat.


Scope of Work

The Executive Director, assisted by consultants and staff will be
responsible to the Board for the day-to-day management of Mama Graun. He
or she shall be required to plan, organise, direct and control the
program and activities of Mama Graun on an operational basis, within the
framework established by the Mama Graun Trust Deed, Constitution,
Operations Manual, the annual work plan and budget, GEF Trust Fund
Agreement, and in accordance with relevant PNG legislation.
In particular, the Executive Director's overall responsibilities will
include, but not be limited to, the coordination and oversight of the
following:

A. General

* Initiate, monitor and control all Mama Graun activities with a
view to achieving efficiency and cost effectiveness in the performance
of all operations.

B. Planning

* Develop, implement and review from time to time the annual
budget and work plan and medium and long term strategic plans, and make
recommendations to the Board;

C. Organisation and Direction of Activities

* Take responsibility for all aspects of Mama Graun financial and
operational management and control.
* In conjunction with the Investment/Finance Committee of the
Board identify, establish and conduct negotiations with potential
donors.
* Take full responsibility for management of Mama Graun staff and
consultants by the establishment and implementation of a performance
management programme

D. Management of Mama Graun Assets

* Ensure always that the Mama Graun endowment Fund is secure and
in compliance with the Operations Manual, the Asset Manager procedures,
and legal requirements.

E. Oversight of Grant Programme and Project

* Manage all aspects of the Mama Graun grant programme; analyse
and assess the social and economic aspects of past and current PNG
government policies, laws and practices in relation to Biodiversity
Conservation; and propose suitable strategies and actions upon which to
focus the Mama Graun grant program;

F. Fund Raising Activities

* Develop an effective relationship with private sector and
financial decision makers, both within PNG and overseas, in order to
obtain their partnership and financial support for bio-diversity
conservation and related sustainable development through the Mama Graun;

G. Monitoring and Control of Mama Graun Activities

* Analyse and report to the Board the following;
a) Project expenditures and activities carried out against PNGMGCTF
planned activities and budget;
b) The Trust Fund's own performance - flows of funds generated
through donations and investments; amount of funds disbursed against the
plans; ratio of administrative costs to grants and services provided;
c) Achievement of goals and objectives of the annual work plan;
d) The performance of the grant programme by components;
e) Best practices and lessons learnt;
f) Employee evaluation performance criteria (staff appraisal).

H. Representation of Mama Graun

* Maintain effective and open relationships with political
authorities, government agencies, local authorities, traditional
authorities and the private sector linked to the utilisation of
environmental resources of PNG, and generally represent the Mama Graun
with other institutions, agencies and organisations

I. Other

* Ensure at all times that PNG laws and the rules and regulations
provided under the Mama Graun Trust Deed, Constitution and Operations
Manual are adhered to by all constituencies of the Trust Fund;

Qualifications and Experience of the Consultant

Candidates should fulfil the following requisites:
Education: University degree in Commerce, Management, or other
applicable area. Post graduate qualifications preferable
Language: The candidates should be fluent in spoken and written
English
Experience: At least ten years organisational management experience
at a senior executive level, preferably including at least a portion of
this with some or all of the following: financial institutions,
environmental NGO's, donor and/or grant making agencies. The candidate
should also have a high level of PNG experience and be well versed in
customary resource ownership and management issues within PNG.
Desirable: Previous experience with conservation trust funds, or
at least community grant schemes in a development context would be
desirable. In addition, fluency in Melanesian Tok Pisin would be highly
advantageous, and understanding of Hiri Motu would also be useful.

Reporting Requirements

In addition to the above, the Executive Director shall be required to
prepare monthly, quarterly and annual reports regarding the progress of
Mama Graun as per reporting requirements of the GEF Trust Fund Grant
Agreement, and as otherwise requested by the Board.

Duration

The initial assignment is for 12 months but is subject to renewal,
dependent upon performance according to agreed criteria.

Selection

The consultant shall be selected in accordance with Section V, Selection
of Individual Consultants under the guidelines for Selection and
Employment of Consultants by World Bank Borrowers (January 1197, revised
September 1997 and January 1999).

Duration of the Assignment

The initial assignment is for 12 months but is subject to annual
renewal dependant on performance according to agreed criteria.

Consultant Selection

The consultant shall be selected in accordance with Section V, Selection
of Individual Consultants under the guidelines for Selection and
Employment of Consultants by World Bank Borrowers (January 1197, revised
September 1997 and January 1999).

Applications and Evaluation

The applications shall contain the following information : a cover
letter with the presentation of the candidate and clear reference to the
position applied, CV of the candidate detailing his/her education and
experience relevant to the present assignment with special emphasis on
previous experience on similar types of assignments, name and contact
details of three referees who could attest the experience of the
candidate relevant to the present assignment, any comments or
suggestions on the scope of work.
Applications will be evaluated on the basis of the candidate's
experience and competence relevant to the assignment by a technical
committee appointed by the Chairman of the FCP Supply and Tenders Board.
The evaluation will consider the following criteria:

a) General qualifications: general education and training
relevant to the assignment
b) Experience relevant to the assignment

c) Track record in senior executive type positions
The evaluation process will include an interview of the short listed
candidates and extensive reference checking. The evaluation results will
be based on the written proposal and the performance of the candidates
during the interview.
The first ranked candidate will be invited by the Chairman of the FCP
Supply and Tenders Board for the negotiation of the financial conditions
of the assignment and the respective contract. If both parties fail to
reach an agreement during negotiation, the Chairman will invite the
candidate whose proposal received the second highest score to negotiate
a Contract.
