Vote on Creating a Subcommittee for Linking W5HVL Repeatertt

¿ªÔÆÌåÓý

Following up on what Russ has said from the legal standpoint, there is nothing wrong with members getting together by email or otherwise to informally discuss club business. ?As a private organization we are not subject to the State Open Meetings law that limits discussions only at a public meeting to items on a published agenda.

However, as a Texas non-profit corporation there ae some things we need to do to keep all our protections. ?The main one is limited liability, i.e., we members are not personally liable for the clubs debts and judgments so long as we conduct business in an orderly and formal way. If we run the club like the corporation does not exist, the courts will do the same.

Any decision of this magnitude¡ªi.e., repeater linking¡ªmust be approved by the club at a scheduled meeting and recorded in the minutes. We can discuss it outside a meeting, but the decision itself must be made at a meeting. Any official committee to study an issue should also be appointed and approved at a meeting. ?Any committee formed by email has no official standing, atthough it can serve as an unofficial preliminary to an official committee.

If an urgent issue comes up between meetings, the officers can act as a management committee to make a decision on behalf of the club. ?However, it must be presented at the next meeting for ratification. ?These are usually financial issues than cannot wait.

Hope this helps.

Good Morning All,

I am glad to see folks talking about a proposal that has been floating around for some time.? While there are varied opinions on the subject, I support Jason to form a committee and look into linking possibilities.? Jason and I talked prior to his email and I gave my opinion on the matter.? I am merely a club member as you all are and extended my thoughts to him.? Any member is invited to become involved and if you have an idea and passion for the club and hobby, please speak up.? However, I want to keep things in perspective.??

In the interest of saving time, Jason is looking to see if there is enough support for his concept.? It is difficult at best to conduct business every thirty days and sometime 60 days in between meetings.? If we recall, I just asked the club to rapidly vote on the antenna via email and I am sure that my request was outside Roberts Rules of Order.? I told Jason that I thought it was a good idea to put something out there to stir interest since some members cannot attend meetings for one reason or another.? In my opinion, an email is not circumventing the memberships autonomous power, but rather fact finding to save months of time.? REMEMBER, any club member is entitled to have ideas, spark interest and conduct research related to our club.? His inquiry, is NOT binding or the final say but rather exploratory in nature.? The final say to officially form a committee, based on his in-depth findings will be put before the membership at a proper time and place.??

Lets face it.? The repeater remains silent throughout the day and visiting with our great membership, I am inclined to think MANY of us go South into Montgomery County for goods and services.? I myself would enjoy VHF/UHF connectivity into Walker County from Montgomery County by any means with standing procedures that protect our equipment and sovereignty as a club.??

There is history in this club and we do not want to repeat mistakes but rather learn from the past.? Paul brings up a good point in remembering our history.? However, before we start "Monday morning quarterbacking" an inquiry and that is all that this is, it is important to remember that every member can have an idea and ask for support.? I applaud Jason for his enthusiasm to bring ideas to the table.??

I¡¯m aware that Russ met with Jason and Steve several weeks ago to talk about linking. My first thought that this request was a product of that meeting, but if not then this needs to follow the procedure outlined by Greg.

Yes I want to be on committee¡..?

´¡²Ô»å¡¡.

I TOTALLY agree with Greg.

There are reasons and history why .86 is standalone.

This a consideration that must be fully researched and the club/group sign onto before anything is done.

You need to run this up to the officers to handle any formations of any committees.?

That is why we have club officers.?

Forward your suggestions to them and help them handle the club¡¯s business appropriately.?

Dear WCARG Hamsters,??

We are holding a vote to determine whether to establish a subcommittee to explore linking our W5HVL repeater. This initiative aims to expand range for both local and emergency communications (EMCOM) operations, potentially enhancing our coverage and effectiveness.??

Your input is essential in shaping this decision. Please reply to this email with **"Yes"** or **"No"** to cast your vote.??

If approved, the subcommittee will research available options, pricing, and pros and cons, presenting their findings at the next club meeting.??

**Please note:** The W5HVL repeater would be disconnected during scheduled nets and other club events to ensure clarity and priority communications during these times.??

Thank you for your time and participation!??

Lee,?
I sincerely appreciate your professional candor and tact¡ªyour insights are always invaluable.
?
You've given me a lot to consider, and I truly appreciate the depth of information you've provided.
?
Russ and I had multiple discussions prior to posting the sub-committee vote, carefully refining the wording before moving forward. ?
?
I fully agree with your points, and we¡¯ll certainly discuss this in detail during the next meeting.
?
From a technical standpoint, do we need to wait to vote in a sub-committee, or is it possible to conduct votes via the Groups.io platform? Russ was under the impression that we could proceed through this method.
?
I¡¯d greatly appreciate your guidance at your earliest convenience.

Jason,

The By-Laws do not provide for voting via Internet. ?A vote by ?might be a good way to get an idea of what members are thinking¡ªlike an opinion poll--, but only votes at in-person meetings are binding. ??is essentially an informal discussion group as is any ¡°committee¡± formed on groups.io. A real committee must be appointed by the officers at an official meeting. There is absolutely nothing wrong with discussions on ?or among groups of members so long as they understand that they have no power to spend money or commit the club without a vote of the club members at an in-person meeting.

The bottom line is that we need to treat WCARG as a legal entity and operate within its formal confines. ?Otherwise we could lose the important protection that incorporation gives us.
