Fair enough; in that case it's not really functioning as Cmaj7/D as much as it is an Am9/D or even Am9/11, right? This is a good example of how chord names can be deceptive or misleading; too

Why? Cma7/D is nothing more then Am9/D (no root), and if one looks at the Am7 as a II chord, the D bass is no stretch at all.
